1. Acceptance of Terms
By accessing or using Throw It On The List (“the Service”) at throwitonthelist.com, you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you and Throw It On The List (“we,” “our,” or “us”). We reserve the right to update or modify these Terms at any time. Your continued use of the Service after any such change constitutes your acceptance of the updated Terms.
2. Description of the Service
Throw It On The List is a web-based task management application that allows registered users to:
- Create and manage task lists with customizable states, priorities, colors, and icons
- Add, organize, and track list items with titles, descriptions, due dates, assignees, tags, and file attachments
- Visualize task progress through Checklist and Kanban board views
- Filter and search items by priority, tag, assignee, due date, and text
- Collaborate with other users by sharing lists under configurable visibility settings
- Receive in-app and email notifications for task assignments, comments, invitations, and upcoming due dates
- Review an activity feed showing a 30-day audit trail of actions taken within shared lists
The Service is built on WordPress and is accessible via a standard web browser. A future mobile application may use the same underlying API.
3. Accounts and Registration
3.1 Account Requirement
You must have a registered user account to create lists, add items, or collaborate with others. Unauthenticated users may only access lists explicitly shared via a public link or password, and only in a read-only capacity.
3.2 Account Information
When registering, you agree to provide accurate and current information, including a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3.3 User Roles
Access to features within the Service depends on the WordPress role assigned to your account:
- Administrators have full access to all lists and site settings.
- Editors and Authors may create, edit, and delete their own lists, and interact with lists shared with them.
- Contributors may create and edit their own lists (subject to review).
- Subscribers may only view and interact with lists explicitly shared with them; they may not create lists.
3.4 List-Level Roles
When collaborating on a shared list, your access is further governed by your list-level role:
- Owners have full control over the list, including settings, membership, and deletion.
- Editors may create, edit, and transition items within the list, but may not delete the list or modify its settings.
- Viewers may view the list and all its items but may not create, edit, delete, or transition items.
3.5 Account Termination
We reserve the right to suspend or terminate your account at our discretion, including for violation of these Terms. You may also request deletion of your account by contacting us at the address in Section 13.
4. User Content
4.1 Your Content
You retain ownership of the content you create within the Service (“User Content”), including list titles and descriptions, item titles and descriptions, tags, custom states, comments, and uploaded images.
4.2 License to Us
By submitting User Content to the Service, you grant us a limited, non-exclusive, royalty-free license to store, display, and process that content solely for the purpose of operating and providing the Service to you and any collaborators you authorize.
4.3 Responsibility for Content
You are solely responsible for all User Content you submit. You represent and warrant that:
- You have all rights necessary to submit the content;
- Your content does not infringe the intellectual property rights or privacy rights of any third party;
- Your content complies with all applicable laws and regulations; and
- Your content does not violate these Terms or our Acceptable Use Policy (Section 5).
4.4 File Uploads
The Service supports image uploads (JPEG and PNG formats) attached to list items, subject to file size limits. You may not upload content that is illegal, harmful, or that infringes third-party rights. We reserve the right to remove any uploaded content that violates these Terms.
4.5 Content Deletion
Deleting a list or list item will permanently delete all associated content, including attachments, comments, and activity records. Activity feed records are automatically purged after 30 days and are deleted immediately upon list deletion. Deleted content cannot be recovered.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation;
- Upload, transmit, or share content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable;
- Infringe the intellectual property rights of any person or entity;
- Attempt to gain unauthorized access to other users’ lists or accounts;
- Interfere with or disrupt the integrity, security, or performance of the Service;
- Use automated tools, scrapers, or bots to access, query, or extract data from the Service without our express written permission;
- Share your account credentials with others or allow others to access the Service through your account;
- Use the Service for any commercial purpose not expressly authorized by us; or
- Attempt to reverse-engineer, decompile, or circumvent any security or access control mechanisms.
6. Sharing and Collaboration
6.1 Visibility Modes
Lists may be configured with one of four visibility modes:
- Private — Accessible only to the list owner. No other user may view or interact with the list.
- Invite — Accessible only to the owner and users who have been explicitly invited and accepted the invitation.
- Link Share — Accessible to anyone with the shareable URL, optionally as a Viewer or Editor.
- Password Protected — Accessible to anyone who provides the correct list password, in a read-only capacity.
You are solely responsible for your sharing choices and for ensuring that any list you share is shared appropriately.
6.2 Invitations
When you invite another user to a list, an invitation email is sent to their email address. By sending an invitation, you represent that you have the right to share that list and that you will not invite users without their consent.
6.3 Shareable Links
When you enable Link Share, a unique access token is generated for your list. Anyone who obtains this link may access the list under the permissions you configure. You are responsible for managing and revoking shareable links if access is no longer appropriate. You may regenerate the link token at any time to revoke existing link access.
6.4 Collaborator Conduct
You are responsible for the actions of collaborators on lists you own. If a collaborator violates these Terms, we may remove their access or take other appropriate action.
7. Notifications and Communications
By creating an account and using the Service, you agree to receive transactional email notifications related to your use of the Service. These may include:
- Invitations to collaborate on a list
- Notifications when you are assigned to an item
- Notifications when a comment is posted on an item you are associated with
- Due-date reminders for items assigned to you
You may adjust your notification preferences within the Service’s settings. You may not opt out of certain administrative or security-related communications.
8. Intellectual Property
8.1 Our Property
All software, design, trademarks, service marks, logos, and other content comprising the Service (excluding User Content) are owned by or licensed to us and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.
8.2 Feedback
If you provide feedback, suggestions, or ideas regarding the Service, you grant us an irrevocable, perpetual, royalty-free right to use that feedback for any purpose without compensation to you.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and storage of your information as described in the Privacy Policy.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, error-free, or free of viruses or other harmful components;
- Any errors in the Service will be corrected;
- The Service will meet your specific requirements; or
- Data stored within the Service will be free from loss or corruption.
You use the Service at your own risk. We strongly recommend maintaining your own backups of any critical data.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($1).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
12. Modifications to the Service
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last Updated” date at the top of this page. For material changes, we will make reasonable efforts to notify you (for example, by emailing the address associated with your account or by displaying a notice within the Service). Your continued use of the Service after any change constitutes your acceptance of the updated Terms.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Orange County, California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of American Arbitration Association, or, if arbitration is not permitted in your jurisdiction, in the courts of competent jurisdiction located in Orange County, California.
15. Severability and Waiver
If any provision of these Terms is found to be unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
16. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements, understandings, or representations relating to the same subject matter.
